These Terms of Use ("Terms") govern your use of our website, apps, and other products and services ("Services"). As some of our Services may be software that is downloaded to your computer, phone, tablet, or other device,you agree that we may automatically update this software, and that these Terms will apply to such updates. Please read these Terms carefully, and contact us if you have any questions, requests for information, or complaints. By clicking “I accept” (or for those who have not yet created an account, by using our Services), you agree to be bound by these Terms, including the policies referenced in these Terms. By using our Services, you agree to be bound by these Terms, including the policies referenced in these Terms.

These terms include an arbitration agreement and class action waiver that apply to all claims brought against Global Technology Group Limited. Please read them carefully; they affect your legal rights. The terms of the arbitration agreement and class action waiver shall not apply if unenforceable under the laws of the country in which you reside.

Using Global Technology Group Limited

Who may use our services

You may use our Services only if you can form a binding contract with Global Technology Group Limited, and only in compliance with these Terms and all applicable laws. When you create your Global Technology Group Limited account, and subsequently when you use certain features, you must provide us with accurate and complete information, and you agree to update your information to keep it accurate and complete. Any individual under the age of 16 must be supported by a parent, guardian or teacher.

Our license to you

Subject to these Terms and our policies (including the Acceptable Use Policy, Honor Code, course-specific eligibility requirements, and other terms), we grant you a limited, personal, non-exclusive, non-transferable, and revocable licence to use our Services. You may download content from our Services only for your personal, non-commercial use, unless you obtain our written permission to otherwise use the content. You also agree that you will create, access, and/or use only one user account, unless expressly permitted by Global Technology Group Limited, and you will not share access to your account or access information for your account with any third party. Using our Services does not give you ownership of or any intellectual property rights in our Services or the content you access.

Changes to content offerings

Global Technology Group Limited offers courses and content ("Content Offerings") from various reputable sources. While we seek to provide world-class Content Offerings from our Content Providers, unexpected events do occur. Global Technology Group Limited reserves the right to cancel, interrupt, reschedule, or modify any Content Offerings, or change the point value or weight of any assignment, quiz, or other assessment, either solely, or in accordance with Content Provider instructions. Content Offerings are subject to the Disclaimers and Limitation of Liability sections below.

No academic credit

Global Technology Group Limited does not grant academic credit for the completion of Content Offerings. Unless otherwise explicitly indicated by a credit-granting institution, participation in or completion of Content Offerings does not confer any academic credit. Even if credit is awarded by one institution, there is no presumption that other institutions will accept that credit. You agree not to accept credit for completing a Content Offering unless you have earned a course certificate or other equivalent documentation of your completion of the Content Offering. Global Technology Group Limited, instructors, and the associated Content Providers have no obligation to have Content Offerings recognized by any educational institution or accreditation organisation.

Disclaimer of learner-content provider relationship

Except as described in the Degree, MasterTrack, and University Certificate Programs section below, nothing in these Terms or otherwise with respect to your participation in any Content Offerings by Content Providers: (a) establishes any relationship between you and any Content Provider; (b) enrols or registers you in any Content Provider institution, or in any Content Offering offered by any Content Provider institution; or (c) entitles you to use the resources of any Content Provider institution beyond participation in the Content Offering.

User Content

The Services enable you to share your content, such as homework, quizzes, exams, projects, other assignments you submit, posts you make in the forums, and the like ("User Content"), with Global Technology Group Limited, instructors, and/or other users. You retain all intellectual property rights in, and are responsible for, the User Content you create and share. User Content does not include course content or other materials made available on or placed on to the Global Technology Group Limited platform by or on behalf of Content Providers or their instructors using the Services or Content Offerings. As between Global Technology Group Limited and Content Providers, such Content Offerings are governed by the relevant agreements in place between Global Technology Group Limited and Content Providers.

How Global Technology Group Limited and others may use user content

To the extent that you provide User Content, you grant Global Technology Group Limited a fully-transferable, royalty-free, perpetual, sublicensable, non-exclusive, worldwide licence to copy, distribute, modify, create derivative works based on, publicly perform, publicly display, and otherwise use the User Content. This licence includes granting Global Technology Group Limited the right to authorise Content Providers to use User Content with their registered students, on-campus learners, or other learners independent of the Services. Nothing in these Terms shall restrict other legal rights Global Technology Group Limited may have to User Content, for example under other licences. We reserve the right to modify or remove content or individuals should a breach of our terms occur.

Feedback

We welcome your suggestions, ideas, comments, and other feedback regarding the Services ("Feedback"). By submitting any Feedback, you grant us the right to use the Feedback without any restriction or any compensation to you. By accepting your Feedback, Global Technology Group Limited does not waive any rights to use similar or related Feedback previously known to Global Technology Group Limited, developed by our employees, contractors, or obtained from other sources.

Security

We care about the security of our users. While we work to protect the security of your account and related information, Global Technology Group Limited cannot guarantee that unauthorised third parties will not be able to defeat our security measures. Please notify us immediately of any compromise or unauthorised use of your account by emailing support@vocationaltraininghub.com or submitting via our site contact us form.

Third party content

Through the Services, you will have the ability to access and/or use content provided by instructors, other users, and/or other third parties and links to websites and services maintained by third parties. Global Technology Group Limited cannot guarantee that such third party content, in the Services or elsewhere, will be free of material you may find objectionable or otherwise inappropriate or of malware or other contaminants that may harm your computer, mobile device, or any files therein. Global Technology Group Limited disclaims any responsibility or liability related to your access or use of, or inability to access or use, such third party content

Copyright and trademark

Global Technology Group Limited respects the intellectual property rights of our users, Content Providers, and other third parties and expects our users to do the same when using the Services. We have adopted and implemented the Global Technology Group Limited Copyright and Trademark Policy below in accordance with applicable law.

Education research

Global Technology Group Limited is committed to advancing the science of learning and teaching, and records of your participation in courses may be used for education research. In the interest of this research, you may be exposed to variations in the Content Offerings. Research findings will typically be reported at the aggregate level. Your personal identity will not be publicly disclosed in any research findings without your express consent.

Paid services from Global Technology Group Limited

Global Technology Group Limited offers paid Services (e.g., course certificates for certain courses) for a fee. Unless otherwise stated, all fees are quoted in UK sterling. You are responsible for paying all fees charged by or for Global Technology Group Limited and applicable taxes in a timely manner with a payment mechanism associated with the applicable paid Services. If your payment method fails or your account is past due, we may collect fees using other collection mechanisms. Fees may vary based on your location and other factors, and Global Technology Group Limited reserves the right to change any fees at any time at its sole discretion. Any change, update, or modification will be effective immediately upon posting through the relevant Services. Refunds may be available for paid Services as described in our Refund Policy below.

Degree & Diplomas

The Services may allow you to enrol in Degree, MasterTrack, and University Certificate programs or similar programs offered by our Content Providers on the Global Technology Group Limited platform. Our Content Providers serve as the distance education providers of these programs and determine admissions, refund, and graduation or completion policies and requirements. Nothing in these Terms shall restrict the applicability to you of any institutional policies established by our Content Provider in connection with these programs (e.g., student codes of conduct); such policies shall supplement these Terms and to the extent there is a conflict between such policies and these Terms, as between you and our Content Provider, our Content Provider’s policies shall govern.

Depending on the program, tuition and fee payments for these programs may be collected by Global Technology Group Limited or our Content Partners. If your payment method fails or your account is past due, we or our Content Partners may collect tuition and fees using other collection mechanisms. Tuition and fees may vary based on your location and other factors, and Global Technology Group Limited and its Content Partners reserve the right to change any tuition and fees for future semesters or equivalent payment periods at their sole discretion. Refunds may be available for paid Services as described in our Refund Policy below. You are encouraged to research and consider whether the tuition and fees required for Content Offerings align with your professional and financial goals.

Professional licensure, certification, and job requirements for various professions may vary in each state and country, and job requirements may vary by employer. Global Technology Group Limited does not guarantee licensure, certification or qualification for any profession or job on the basis of your completion of a Content Offering on Global Technology Group Limited. You are advised to research, understand and comply with the requirements in the applicable state and/or country in which you work or i ntend to work, and to investigate whether the Content Offering in which you intend to enrol meets your academic and/or professional needs before enrolling.

Modifying or terminating our services

We are constantly changing and improving our Services. We may add or remove functions, features, or requirements, and we may suspend (to the extent allowed by applicable law) or stop part of our Services altogether. Accordingly, Global Technology Group Limited may terminate your use of any Service for any reason. If your use of a paid Service is terminated, a refund may be available under our Refund Policy. We may not be able to deliver the Services to certain regions or countries for various reasons, including due to applicable export control requirements or internet access limitations and restrictions from governments. None of Global Technology Group Limited, its Content Providers and instructors, its contributors, sponsors, and other business partners, and their employees, contractors, and other agents (the "Global Technology Group Limited Parties") shall have any liability to you for any such action. You can stop using our Services at any time, although we'll be sorry to see you go.

Disclaimers

To the maximum extent permitted by law, the services and all included content are provided on an "as is" basis without warranty of any kind, whether express or implied. The Global Technology Group Limited parties specifically disclaim any and all warranties and conditions of merchantability, fitness for a particular purpose, and non-infringement, and any warranties arising out of course of dealing or usage of trade. Global Technology Group Limited parties further disclaim any and all liability related to your access or use of the services or any related content. You acknowledge and agree that any access to or use of the services or such content is at your own risk.

Limitation of liability

To the maximum extent permitted by law, Global Technology Group Limited parties shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any party other than the applicable Global Technology Group Limited party, including without limitation, any defamatory, offensive, or illegal conduct; or (c) unauthorised access, use, or alteration of your content or information. In no event shall Global Technology Group Limited aggregate liability for all claims related to the services exceed twenty pounds sterling or the total amount of fees received by Global Technology Group Limited from you for the use of paid services during the past six months, whichever is greater.

You acknowledge and agree that the disclaimers and the limitations of liability set forth in this terms of use reflect a reasonable and fair allocation of risk between you and the Global Technology Group Limited parties, and that these limitations are an essential basis to Global Technology Group Limited ability to make the services available to you on an economically feasible basis.

You agree that any cause of action related to the services must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

Export controls

Except as provided below, the Services are managed by Global Technology Group Limited, which is located in the UK. You agree that these Terms will be governed by the laws of the country you reside. In the event of any dispute related to these Terms that is not subject to binding arbitration, you and Global Technology Group Limited will submit to the personal jurisdiction of an exclusive venue in a court located in and serving your location as the legal forum for any such dispute.

To the extent you are located in the European Union or the United Kingdom, the Services are managed by Global Technology Group Limited. You agree that these Terms will be governed by the laws of the UK, excluding its conflicts of law provisions.

This section shall not deprive you of any mandatory consumer protections under the law of the country to which we direct Services to you, where you have your habitual residence.

Indemnification

You agree to indemnify, defend, and hold harmless the Global Technology Group Limited Parties from any and all claims, liabilities, expenses, and damages (to the extent attributable to you under the applicable law), including reasonable solicitor fees and costs, made by any third party related to: (a) your use or attempted use of the Services in violation of these Terms; (b) your violation of any law or rights of any third party; or (c) User Content, including without limitation any claim of infringement or misappropriation of intellectual property or other proprietary rights.

Governing law and venue

This section shall not deprive you of any mandatory consumer protections under the law of the country to which we direct Services to you, where you have your habitual residence.

Binding arbitration and class action waiver

You and Global Technology Group Limited agree to submit to binding arbitration any and all disputes, claims, or controversies of any kind, whether based on statute, regulation, constitution, common law, equity, or any other legal basis or theory, and whether pre-existing, present, or future, that arise out of or relate to our Services, these Terms, and/or any other relationship or dispute between you and us, including without limitation (i) the scope, applicability, or enforceability of these Terms and/or this arbitration provision, and (ii) relationships with third parties who are not parties to these Terms or this arbitration provision to the fullest extent permitted by applicable law (each a “ Claim,” and collectively the “ Claims ” ).

Any and all Claims shall be submitted for binding arbitration in accordance with the Consumer Arbitration Rules of the American Arbitration Association (the “ AAA Rules ” ), as amended, in effect at the time arbitration is initiated. The AAA Rules are available online at www.adr.org, and are hereby incorporated by reference. In the event of any inconsistency between this arbitration provision and the AAA Rules, such inconsistency shall be resolved in favour of this provision. If you decide to initiate arbitration, you agree to pay the initiation fee of £200 (or the amount otherwise required by the AAA Rules), and we agree to pay the remaining arbitration initiation fee and any additional deposit required by AAA to initiate your arbitration. We will pay the costs of the arbitration proceeding, including the arbitrator’s fees; however, other fees, such as attorney’s fees and expenses of travel to the arbitration, shall be paid in accordance with the AAA Rules and applicable law. We will pay all costs associated with any arbitration that we commence. A single, neutral arbitrator selected in accordance with the AAA Rules shall decide all Claims.

The arbitrator shall be an active member in good standing of the bar for any state in the continental United States and shall be either actively engaged in the practice of law for at least five years or a retired judge. The arbitrator shall honour claims of privilege recognized at law. Unless inconsistent with applicable law, and except as otherwise provided herein, each party shall bear the expense of its respective attorney, expert, and witness fees, regardless of which party prevails in the arbitration. Any arbitration proceedings shall be conducted in the federal judicial district of your residence, and you will be given the opportunity to attend the proceeding and be heard. The arbitrator’s decision will be final and binding upon the parties and may be enforced in any country or state that has jurisdiction. You and we agree that the arbitration shall be kept confidential and that the existence of the proceeding and any element of it (including, without limitation, any pleadings, briefs or other documents submitted or exchanged and any testimony or other oral submissions and awards) will not be disclosed beyond the arbitration proceedings, except as may lawfully be required in judicial proceedings relating to the arbitration or by applicable disclosure rules and regulations of governmental agencies.

Neither you nor Global Technology Group Limited may act as a class representative, nor participate as a member of a class of claimants, with respect to any Claim. The Claims may not be arbitrated on a class or representative basis. The arbitrator can decide only your and/or Global Technology Group Limited individual Claims. The arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated. Accordingly, you and we agree that the AAA Supplementary Rules for Class Arbitrations do not apply to our arbitration. This arbitration provision and the procedures applicable to the arbitration contemplated by this provision are governed by the Federal Arbitration Act, notwithstanding any state law that may be applicable.

This arbitration agreement does not preclude you or us from seeking action by federal, state, or local government agencies. You and we also have the right to exercise self-help remedies, such as set-off, or to bring qualifying claims in small claims court so long as the matter remains in such court and advances only on an individual (non-class, non-representative) basis. In addition, you and we retain the right to apply to any court of competent jurisdiction for provisional or ancillary relief, including pre-arbitral attachments or preliminary in junctions, and any such request shall not be deemed incompatible with any of these Terms, nor a waiver of the right to have disputes submitted to arbitration as provided in this provision.

A court may sever any portion of this Binding Arbitration and Class Action Waiver Section that it finds to be unenforceable, except for the prohibitions on any Claim being handled on a class or representative basis, and the remaining portions of this arbitration provision will remain valid and enforceable. No waiver of any provision of this Section will be effective or enforceable unless recorded in a writing signed by the party waiving such a right or requirement. Such a waiver shall not waive or affect any other portion of these Terms.

This binding arbitration and class action waiver section limits certain rights, including the right to maintain a court action, the right to a jury trial, the right to participate in any form of class or representative claim, and the right to engage in discovery except as provided in the aaa rules. Other rights that you or Global Technology Group Limited would have in court also may not be available in arbitration.

General terms

Revisions to the Terms

We reserve the right to revise the Terms at our sole discretion at any time. Any revisions to the Terms will be effective immediately upon posting by us. For any material changes to the Terms, we will take reasonable steps to notify you of such changes, via a banner on the website, email notification, another method, or combination of methods. In all cases, your continued use of the Services after publication of such changes, with or without notification, constitutes binding acceptance of the revised Terms

Severability; Waiver

If it turns out that a particular provision of these Terms is not enforceable, this will not affect any other terms. If you do not comply with these Terms, and we do not take immediate action, this does not indicate that we relinquish any rights that we may have (such as taking action in the future).

Content Providers

Our Content Providers and integrated service providers are third party beneficiaries of the Terms and may enforce those provisions of the Terms that relate to them.

Account deletion

All free company accounts will be archived if they have not been logged into for 75 days.
All paid accounts will be archived if they have not been logged into for 120 days. Accounts with a live subscription (or mandatory bundle) will be archived 120 days after the product has expired.
All learner accounts will be switched to an individual account. Any training that was free at the time of allocation, or was allocated using credits, will remain in place.
Any learner account that has not been logged into for 120 days will be archived.
Archived accounts can be automatically reactivated by logging back in - allowing a learner to complete any training and access any unused credits.

General Terms & Conditions

These General Terms and Conditions ("Terms") govern your use of our website, applications, learning portals and other products and services ("Services").

Please note the corporate operational structure governing these Services:

System Ownership: This online platform, learning management system (LMS), website and all underlying technical infrastructure are solely owned and operated by GTG Global Limited (Company Number: 15026292).
Training Facilitation:. All educational courses, content delivery, training facilitation, certificates and commercial training operations are fulfilled and managed by TTH Group Limited (trading as Vocational Training Hub, hereinafter referred to as "the Company", "we", "us" or "our").

Please read these Terms carefully. By actively using our Services, you agree to be bound by these Terms, including the policies referenced herein. If you are a corporate client or business user, these Terms include a binding arbitration agreement and a group litigation waiver.

1. Using Vocational Training Hub

1.1 Who may use our services

You may use our Services only if you can form a binding contract with the Company, and only in compliance with these Terms and all applicable local, national and international laws. When you create your Vocational Training Hub account, you must provide us with accurate and complete information, and you agree to keep this data updated. Any individual under the age of 16 must be supported and authorised by a parent, legal guardian or school representative to enter into these terms.

1.2 Our license to you

Subject to these Terms and our internal operational policies (including our Acceptable Use Policy and Learner Code of Conduct), we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to use our Services. You may download content from our Services only for your personal, non-commercial educational use, unless you obtain our express written permission.

You agree not to share access to your account or your login credentials with any third party. Using our Services does not grant you ownership of, or any intellectual property rights in, our Services or the commercial content you access.

2. Content Offerings & Academic Credits

2.1 Changes to Content Offerings

The Company offers courses, training models and material ("Content Offerings") from various external authors, internal creators and industry providers ("Content Providers"). The Company reserves the right to cancel, interrupt, reschedule or modify any Content Offerings, or change the point value or weight of any assignment, quiz or assessment, either solely or in accordance with Content Provider requirements.

2.2 Professional and Academic Credits

Unless explicitly stated in writing in connection with an officially accredited vocational body or awarding organisation, completion of a Content Offering does not confer standard academic degrees or university credits. There is no presumption that external institutions or regulatory frameworks will universally accept our training hours or Continuous Professional Development (CPD) points.

You agree not to claim credit for completing a Content Offering unless you have successfully earned an official course certificate issued by us.

2.3 Disclaimer of Institutional Relationship

Except where explicitly part of a formally accredited qualification pathway or apprenticeship program outlined in a corporate subscription, your participation in any Content Offerings does not:

Establish any direct employment, partnership or institutional relationship between you and any third-party Content Provider.
Enrol or register you as a student in any external Content Provider institution or awarding body.
Entitle you to utilise the physical resources or facilities of any external Content Provider

3. User Content & Feedback

3.1 User Content

The Services enable you to share your content, such as homework, quizzes, exams, projects, forum posts and practical logs ("User Content"), with the Company, instructors and other learners. You retain all pre-existing intellectual property rights in, and remain solely responsible for, the User Content you create. User Content does not include master course layouts, video recordings, structures or source materials placed onto our platform by us or our Content Providers.

3.2 How We May Use User Content

To the extent that you provide User Content, you grant the Company a fully transferable, royalty-free, perpetual, sub-licensable, non-exclusive, worldwide licence to copy, distribute, modify, create derivative works based on, publicly perform, publicly display and otherwise use your User Content for educational delivery, platform optimisation and marketing purposes. We reserve the right to modify or remove content or user accounts should a breach of these Terms occur.

3.3 Feedback

By submitting any suggestions, ideas, comments or other feedback regarding the Services ("Feedback"), you grant us the right to use the Feedback without any restriction, timeframe or financial compensation to you.

4. Platform Security

We care about the security of our users and learners. While we actively work to safeguard the encryption and security of your account, the Company cannot guarantee that unauthorised third parties will never defeat our security measures. Please notify us immediately of any compromise or unauthorised use of your account by emailing support@vocationaltraininghub.com.

5. Third-Party Links and Content

Through our platform, you may have the ability to access digital links, tools, and content provided by third parties. The Company cannot guarantee that such third-party content will be free of malware or material you may find objectionable. The Company disclaims any direct responsibility or liability related to your interaction with third-party sites or systems.

6. Copyright and Trademark Protection

All training videos, documentation, platforms and course code deployed on the platform are the exclusive intellectual property of the Company and its infrastructure partner, Global Technology Group Limited. Unauthorised copying, distribution, downloading or scraping of our materials is strictly prohibited and will result in immediate termination of service and potential legal recovery actions for breach of copyright.

7. Education Research

Records of your participation in courses, completion rates and platform interactions may be utilised for internal education research and statistical analysis to advance vocational learning. Research findings will be managed and reported strictly at the aggregate level, and your personal identity will never be disclosed without your express consent, in accordance with our Privacy Policy.

8. Vocational and Job Requirements

Professional licensure, statutory certification and specific job requirements for various vocational roles (such as Adult Care, Early Years, or Children's Homes) vary significantly by region, local authority and individual employer.

The Company does not guarantee employment, promotion or specific regulatory licensure purely on the basis of your completion of a Content Offering. You are solely advised to investigate whether our specific Content Offering meets your exact professional or institutional needs before purchasing subscriptions or credits.

9. Modifying or Terminating Our Services

We are constantly updating, refining and improving our digital platforms. We may add or remove functions, features or training paths, and we may suspend or stop part of our Services altogether. Accordingly, the Company may terminate your use of any Service or revoke your access token for any material breach of these Terms, non-payment or critical regulatory updates.

10. Commercial Disclaimers

To the maximum extent permitted by law, the services and all included content are provided on an "as is" basis without warranty of any kind, whether express or implied. The Company specifically disclaims any and all warranties of merchantability, fitness for a particular purpose, satisfactory quality, and non-infringement. You acknowledge and agree that any access to or use of the services is at your own risk.

11. Limitation of Liability

11.1 Statutory Carve-Outs (Mandatory UK Provision)

Nothing in these Terms shall limit or exclude the Company's liability for:

Death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors.
Fraud or fraudulent misrepresentation.
Any other matter in respect of which it would be unlawful for us to exclude or restrict liability under applicable UK law.

11.2 Liability Cap

Subject to clause 11.1, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages or any loss of profits, revenues, commercial opportunities, data, goodwill or intangible losses resulting from your access to or use of the Services.

In no event shall our aggregate liability for all claims related to the Services exceed twenty pounds sterling (£20.00) or the total amount of fees received by the Company from you for the paid services during the past six (6) months, whichever is greater.

11.3 Time Limit on Claims

Except where prohibited by the Consumer Rights Act 2015, you agree that any formal legal cause of action related to the Services must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is contractually barred.

12. Indemnification

You agree to indemnify, defen, and hold harmless the Company (TTH Group Limited) and its platform partner (Global Technology Group Limited) from any and all third-party claims, liabilities, expenses and damages (including reasonable legal fees) attributable to: (a) your use or attempted use of the Services in violation of these Terms; (b) your violation of any law or the rights of any third party; or (c) your User Content's infringement of third-party intellectual property.

13. Governing Law and Jurisdiction

These Terms and Conditions, and any dispute or claim arising out of or in connection with them (including non-contractual disputes), shall be governed by and construed in accordance with the laws of England and Wales.

Subject to Section 14 (Arbitration), the parties agree that the courts of England and Wales shall have exclusive jurisdiction. This section does not deprive individual consumers of any mandatory statutory protections under the laws of the specific country within the UK (e.g., Scotland or Northern Ireland) in which they habitually reside.

14. Dispute Resolution and Binding Arbitration

14.1 Scope of Arbitration

If you are accessing the Services as a business, corporate subscriber or independent contractor, you and the Company agree to submit to binding arbitration any and all disputes, claims or controversies arising out of or relating to our Services, these Terms or your commercial relationship with us (each a “Claim”).

14.2 Consumer Exception

If you are an individual consumer accessing the platform for personal use, this mandatory arbitration clause does not apply to you. You retain your statutory right to bring qualifying claims in the County Court (including the Small Claims Track) on an individual basis.

14.3 Arbitration Framework

Any commercial Claims shall be submitted for binding arbitration in accordance with the provisions of the Arbitration Act 1996. A single, independent arbitrator shall be mutually agreed upon by the parties. In default of agreement within 14 days of a dispute being referred, the arbitrator shall be appointed by the President of the Chartered Institute of Arbitrators (CIArb) or The Law Society of England and Wales. The arbitration shall take place in England, and the language shall be English.

14.4 Arbitrator Requirements & Costs

The arbitrator shall be a qualified solicitor or barrister with a current practising certificate in England and Wales (with at least five years of post-qualification experience) or a retired UK judge. Except where otherwise directed by the arbitrator in accordance with the Arbitration Act 1996, the unsuccessful party shall bear the reasonable costs of the arbitration proceedings, including the arbitrator's fees and the reasonable legal and administrative costs incurred by the prevailing party. All proceedings shall remain strictly confidential.

14.5 Group and Representative Action Waiver

All claims, disputes or arbitration proceedings under this Agreement must be brought on an individual basis and not as a claimant, group member or representative in any corporate class or group litigation proceeding. The arbitrator may not consolidate, join or manage the claims of multiple parties into a single proceeding.

14.6 Severability of Dispute Terms

If any provision or part-provision of this Arbitration Section is found to be invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision shall be deleted, leaving the rest of this section in full effect, provided that the restriction on group actions remains intact.

15. General Terms

15.1 Revisions to the Terms

We reserve the right to revise these Terms at our sole discretion at any time. Any revisions will be effective immediately upon posting to our Site. For any material changes, we will take reasonable steps to notify you via a banner on the website homepage, an email notification or a direct account alert. Your continued use of the Services after publication constitutes binding acceptance of the revised Terms.

15.2 Severability and Waiver

If any provision of these Terms is deemed unenforceable under local statutory law, this will not affect the validity or enforceability of any other terms. No failure or delay by either party to exercise any right or remedy provided under these Terms shall constitute a waiver of that or any other right or remedy.

15.3 Third-Party Rights

Our system infrastructure partner, Global Technology Group Limited, and our authorised Content Providers are designated third-party beneficiaries of these Terms and may directly enforce provisions that relate to them or protect their proprietary intellectual property. Otherwise, a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any part of these agreements

2. Client Terms & Conditions (B2B)

All training services, content delivery and platform operations are facilitated by TTH Group Limited.

2.1 Online Services & Subscriptions

Delivery & Access: Access to digital online services and learning portals will be provisioned within 3 working days from order confirmation and cleared payment.
Quotations: All corporate quotes and B2B pricing proposals are valid for a strict period of 30 days from the date of issue, after which prices may be subject to market adjustments.
Commercial Cancellation: As a Business-to-Business (B2B) agreement, statutory consumer cooling-off periods do not apply. However, the Company may, at its sole discretion, permit contract cancellation within 14 days of purchase provided that the digital service, credits or login credentials have not been accessed or utilised.

2.1A Unlimited Subscription Terms – Fair Usage Policy

Scope of Use: Unlimited subscriptions are provided on a fair usage basis and are intended strictly to support the genuine, internal organisational training requirements of the purchasing client and its authorised employees.
Subject Cap: Access to separate training modules under an unlimited subscription framework is capped at a maximum of 60 subjects per subscription period, unless otherwise expressly agreed in writing by a Director of the Company.
Prohibited Activities: Subscriptions are non-transferable. If we reasonably believe or detect that training access is being utilised outside of genuine internal requirements, we reserve the right to immediately investigate, suspend or terminate access and cancel the subscription without refund. Prohibited activities include, but are not limited to:
- Reselling, sub-licensing or renting access to the training services;
- Providing login credentials to unauthorised third parties or individuals outside the client organisation;
- Excessive or automated allocation of training profiles not reasonably required for immediate operational training;
- Any activity intended to circumvent the fair usage caps or system structures.

2.2 Payment Terms & Credit Control

Payment Timing: Payment is required in full upfront, unless corporate 30-day credit terms have been formally approved and agreed in writing.
Invoice Enforcement: Approved credit invoices must be settled within 30 days of the invoice date.
Late Payment Remedies: In the event of late payment or default, the Company reserves the immediate right to enforce the following remedies:
- Total removal of any applied promotional discounts or bundle reductions, reverting the account to standard gross pricing;
- Statutory interest charges and debt recovery costs levied in accordance with the Late Payment of Commercial Debts (Interest) Act 1998;
- Immediate suspension of all live online portals, student accounts and upcoming face-to-face training sessions.
Authorisation and Liability: The individual accepting these Terms on behalf of a corporate entity expressly warrants that they possess the necessary corporate authority to bind the client organisation. Where an individual executes an order without valid corporate authority, or where fraud is evident, personal liability for outstanding fees may be pursued to the maximum extent permitted under the laws of England and Wales.

2.3 Face‑to‑Face & Virtual Training Delivery

Standard Booking Window: To secure preferred training slots, the recommended minimum notice period for scheduling face-to-face or virtual live training is 30 days.
Short‑Notice Bookings: Bookings requested with under 30 days’ notice are classified as short-notice bookings. These requests are subject to a £200 plus VAT short-notice administrative fee. Trainer availability is not guaranteed for short-notice windows; booking confirmation is strictly contingent upon the fee being accepted, an available trainer being formally assigned and a date mutually agreed in writing.
Cancellations:
- By the Client: Cancellations or postponement requests made with 7 or more days' written notice will incur no fee. Cancellations or modifications made with under 7 days' notice will be charged at the full contract rate (100% fee forfeiture).
- By the Provider: In the exceptional event that the Company must cancel a session with under 7 days' notice due to trainer illness or emergency, the session will be rescheduled at the earliest opportunity, and the client will receive a credit reducing the specific session fee by 50%.
Booking Amendments: A administrative fee of £75 plus VAT applies to any client-requested change to dates, times or course types made after a specific trainer has been assigned to the booking.
Additional Learners: Live sessions are capped at the agreed cohort size. Additional learners attending a session will be billed to the client at a rate of £650 plus VAT per additional learner, unless otherwise agreed in writing.
Venue Protocols: Clients must not finalise external venue or hotel bookings prior to receiving our formal written trainer assignment confirmation. The Company accepts zero liability for any external venue cancellation fees, catering losses or travel costs arising from premature venue bookings.

2.4 Training Eligibility & User Management

Services, platform licenses and course completions may only be utilised for learners actively employed by, or registered under the direct command of, the purchasing client organisation.

2.5 Platform Inactivity & Data Lifecycle

To ensure system security and maintain compliance with data minimisation principles, user accounts that remain entirely inactive for a consecutive period of 12 months may be permanently deleted from our servers. No refunds, credit restoration, or certificate retrievals will be issued post-deletion.

2.6 Quality Assurance & Course Accuracy

We strive for flawless training accuracy. If a valid, systemic error or compliance defect within our course content is identified by a client and verified by our QA team, the client organization will be awarded 5 free training credits as a gesture of goodwill.

2.7 Professional Disclaimer

All training courses, materials, and virtual platform data are provided for general educational guidance and professional development purposes only. They do not constitute formal legal or regulatory advice. Client organisations retain absolute responsibility to ensure their staff strictly adhere to their specific internal procedures, local authority directives and national care standards.

Learner's Terms and Conditions

All training services, content delivery and platform operations are facilitated by TTH Group Limited.

1. Account Transition & Progress Retention

All corporate learner accounts may be transitioned to an individual account structure upon changes to corporate affiliation. Any training history that was free at the time of allocation, or was allocated using system credits, will remain intact on the user's profile.

2. Inactivity and Archiving (90 Days)

To maintain platform security, any learner account that has not recorded a login for 90 consecutive days will be automatically moved to an "Archived" status.

Accessing an Archived Account: Users can still log in using their correct credentials.
Course Access:. Upon navigating to "Available Courses," the learner will be notified that their account is archived and will be instructed to contact their affiliated company's administrator to restore full access.

3. Automatic Account Deletion (24 Months)

If an account becomes completely idle for a continuous period of 24 months (2 years), it will be automatically and permanently deleted from our systems. An account is considered "idle" if it has not been used or accessed by:

The individual learner,
The managing company, or
Any associated learners under that company’s umbrella.

4. Requested Account Deletion (30-Day Wipe)

Learners or affiliated companies may request the manual deletion of an account at any time.

Once a deletion request is submitted, a 30-day grace period begins.
Upon the expiration of this 30-day period, all account data, training records and personal information will be completely and permanently wiped from our active databases and backup systems. This action cannot be undone.

Trainer’s Terms and Conditions

1. Face-to-Face Terms and Conditions

All training services, content delivery and platform operations are facilitated by TTH Group Limited.

1.1 Non-Circumvention & Non-Solicitation

You agree not to directly or indirectly solicit, engage with or provide training services to any organisation introduced to you by us. This restriction applies for a period of 12 months from the date of our initial introduction of that client to you. Following this 12-month period, you are free to engage with the organisation directly.

1.2 Breach of Non-Circumvention

If you bypass us to directly engage with, or pass your direct business contact details to, an organisation introduced by us within the 12-month restriction period, you agree to pay a recruitment and introduction fee of £6,000 plus VAT to compensate for our loss of business and administrative costs.

1.3 Waiver

We may, at our sole discretion, waive this non-circumvention restriction, provided you obtain our express written consent before any direct engagement or communication with the client takes place.

1.4 Invoicing and Register Submission

To ensure accurate client reporting, you must submit your invoice, completed register and any Accredited Certificates within 2 working days of the training session taking place. If you anticipate a delay and inform us in advance, this timeline may be extended at our discretion.

Failure to submit the required paperwork within this timeframe will result in your payment being delayed until the correct documentation is received.

1.5 Administrative Fee for Late/Incomplete Records

A £30 administrative fee will be deducted from the trainer's invoice for each late, inaccurate or incomplete register submitted, to cover the additional administrative time required to rectify the records.

2. Cancellations, Payments & Standards

2.1 Trainer Cancellations & Rescheduling

If you cancel a confirmed session, you must provide at least 5 new available dates to reschedule the session, alongside the following remedies to offset client inconvenience:

Less than 7 working days' notice You agree to redeliver the rescheduled training session at a 30% reduced fee rate.
Day before or day of the session: The original session fee is forfeited. To cover the cost of client compensation and distress, you agree to deliver the rescheduled session as liquidated damages at a 100% discount (no fee payable).

Repeated short-notice cancellations may result in the immediate termination of your contract and removal from future training opportunities.

2.2 Payment Terms

Payments are processed 14 working days following the successful delivery of the training session. This period allows for the quality assurance verification of the training delivered.

Payments are issued on Fridays only. If the 14-day processing window expires on any day other than a Friday, payment will be issued on the immediate following Friday.

2.3 Complaints & Quality Disputes

All client complaints, requests for fees adjustment or compensation claims regarding session quality must be submitted within 14 days of the session. After this 14-day window, trainer fees are finalised and cannot be retroactively adjusted. We will, however, review any late-stage complaints in good faith to maintain service standards.

If a training session fails to initiate or complete due to a technical issue on your end, you agree to deliver a replacement session at a 30% discount to accommodate the client's compensation.

2.4 Equipment & Materials Responsibility

You are operating as an independent contractor and are solely responsible for providing all equipment and materials necessary to conduct the training session. This includes, but is not limited to: laptops, projectors, handouts, pens and specialised presentation tools. Clients are not responsible for providing operational equipment.

2.5 Insurance Requirement

You must maintain active, valid and adequate Public Liability Insurance and Professional Indemnity Insurance for the entire duration of your engagement with us. Proof of coverage must be provided upon request.
